Who this is between
These terms govern use of StromaOS ("the Service"), operated by Vivek Sharma ("we", "us"), a Sole Proprietorship registered in India, with its registered office at 191, Near Mira Store, Rilbong, Shillong, Meghalaya 793004, India.
"You" means the business that subscribes to the Service, and anyone you authorise to use it — your staff, your administrators, and the members you enrol. You are responsible for what they do with it.
What the Service is
StromaOS is access control and membership software for businesses that control physical doors. It issues and revokes credentials, records entry, manages memberships and plans, records payments, and drives door controllers over the internet.
The Service is sold business-to-business. It is not a consumer product, and an individual member of your gym, pool, club or co-working space is your customer, not ours.
What we do not promise
The Service is not a life-safety system. It must not be relied upon as the only means of securing or releasing a door where a failure could injure somebody or trap them. Fire egress, emergency release and statutory safety requirements are yours to satisfy by other means, and local law almost certainly requires it.
Door controllers are designed to keep granting access to known credentials when they cannot reach us, from a roster held on the device. That is a deliberate property and not a guarantee: a door may still fail to open for reasons outside our control — power, network, the lock itself, or the hardware.
Your account and your data
You keep ownership of everything you put into the Service: your members, your records, your money data. We process it to run the Service for you, as described in the Privacy Policy.
You must keep credentials secret, tell us promptly if you believe an account has been compromised, and not use the Service to break the law or to process personal data you had no right to collect.
Fees and billing
Subscriptions are billed in INR, in advance, per billing period, per property. Recurring subscription, billed per property per billing period, in advance.
Prices are stated on the Pricing page. Taxes are charged as the law requires. Fees for a period already begun are not pro-rated on cancellation except where the Refund and Cancellation Policy says so.
If payment fails we may suspend the Service after notifying you. Suspension does not delete your data; termination eventually does.
Hardware
Door controllers and readers you buy from us are covered by the Shipping and Delivery Policy and by the manufacturer's warranty where one applies. Hardware you source yourself is yours to support; we make no warranty about equipment we did not supply.
Suspension and termination
You may cancel at any time, effective at the end of the paid period. We may suspend or terminate for non-payment, for a material breach of these terms that is not fixed within 15 days of us telling you about it, or immediately where continuing would break the law.
On termination you may export your data for 30 days, after which we delete it on the schedule in the Privacy Policy.
Liability
Nothing here limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud.
Subject to that, our total liability for any claim is limited to the fees you paid us in the 12 months before the claim arose, and we are not liable for indirect or consequential loss, loss of profit, or loss of business.
Governing law
These terms are governed by the laws of India. The courts at Shillong, Meghalaya, India have exclusive jurisdiction.
Changes
We may change these terms. Material changes will be notified in the console or by email at least 15 days before they take effect. Continuing to use the Service after that is acceptance.
